Terms and Conditions for Treeo

1. Eligibility and Accounts

• You must be at least the age of majority in your jurisdiction and have the legal capacity to enter into these Terms.
• To use some features, you must create an account and keep your credentials confidential. You are responsible for all activity under your account.
• You must provide accurate, complete information and keep it up to date.
• We may refuse, suspend, or terminate accounts if we reasonably believe these Terms or applicable laws are violated.

2. Access to the Services

• We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services in accordance with these Terms.
• We may modify, suspend, or discontinue the Services (in whole or in part) with or without notice, subject to applicable law.

3. Acceptable Use

You agree not to:

• Use the Services for unlawful, harmful, fraudulent, infringing, or misleading purposes.
• Attempt to gain unauthorized access to the Services or related systems.
• Interfere with or disrupt the integrity or performance of the Services.
• Reverse engineer, decompile, or attempt to derive source code from the Services except where permitted by law.
• Upload or transmit malicious code, or bulk unsolicited communications.
• Misrepresent your identity or affiliation.

4. Subscriptions, Fees, and Billing

• Certain features may require paid subscriptions or one-time fees (each a "Plan"). Prices, features, and limits are described at the time of purchase or in your order form.
• Taxes, duties, and government charges are your responsibility and may be charged in addition to fees.
• Unless otherwise stated, subscriptions automatically renew at the end of each billing cycle at the then-current price.
• Renewal notices: For monthly Plans, we will send a renewal reminder at least 7 days before renewal. For annual Plans, we will send a renewal reminder at least 30 days before renewal.
• You can cancel renewal in your account settings any time before the renewal date. Cancellation takes effect at the end of the then-current billing period, and you will retain access through the end of that period.
• If a payment fails, we may suspend or terminate access until payment is made.
• Except where required by law or expressly stated in your Plan, all payments are non-refundable.

5. Trials and Promotions

• Any free trial or promotional offer is subject to the terms presented at sign-up. We may modify or discontinue promotions at any time.
• Trial cancellation: You can cancel a free trial at any time before the trial period ends from your account settings. If you cancel within the trial, you will not be charged. If you do not cancel before the trial ends, your subscription will begin automatically and the applicable fee for the next billing cycle will be charged.
• Unless otherwise stated, trials are limited to one per customer or account, and we may determine eligibility at our sole discretion.

6. Changes to the Services or Terms

• We may update these Terms from time to time. Material changes will be indicated by updating the "Last updated" date above and, where required, by providing notice.
• Your continued use after changes take effect constitutes acceptance of the updated Terms.

7. Intellectual Property

• The Services, including all software, design, text, images, trademarks, and other content provided by Treeo, are owned by or licensed to Treeo and are protected by intellectual property laws.
• Except as expressly permitted, you may not copy, modify, distribute, sell, or lease any part of the Services or included content.

8. Your Content

• You retain ownership of content you submit, upload, or store via the Services ("User Content").
• You grant Treeo a worldwide, non-exclusive, royalty-free license to host, store, display, reproduce, and process User Content solely as necessary to provide and improve the Services and comply with law.
• You represent and warrant that you have all rights necessary to grant this license and that your User Content does not violate law or third-party rights.

9. Feedback

If you provide feedback, ideas, or suggestions ("Feedback"), you grant Treeo a perpetual, irrevocable, worldwide, royalty-free license to use the Feedback without restriction or obligation to you.

10. Third-Party Services and Links

The Services may integrate with or link to third-party services. Treeo does not control and is not responsible for third-party services. Your use of them is governed by their terms and privacy policies.

11. Confidentiality

If you receive non-public information from Treeo that is marked confidential or would reasonably be considered confidential given its nature, you must use it only to access and use the Services and not disclose it to third parties without our consent, except as required by law.

12. Privacy

Our collection and use of personal data is described in our Privacy Policy. By using the Services, you consent to our data practices as described there.

13. Security

We implement reasonable technical and organizational measures to protect the Services. However, no method of transmission or storage is fully secure. You are responsible for maintaining appropriate security for your systems and data.

14. Beta, Experimental, and AI Features

We may offer beta or experimental features, including AI-enabled functionality. Such features are provided as-is and may be changed or discontinued. Outputs may be inaccurate or incomplete; you are responsible for evaluating their suitability for your use case.

15. Compliance and Export

You will comply with all applicable laws, including export control and sanctions laws. You represent that you are not located in, under the control of, or a national or resident of any country or entity subject to comprehensive sanctions.

16. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND TITLE. WE DO NOT WARRANT THAT THE SERVICES WILL BE ERROR-FREE OR UNINTERRUPTED.

17. Limitation of Liability

• TO THE MAXIMUM EXTENT PERMITTED BY LAW, TREEO AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, AND PARTNERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM OR RELATED TO THE SERVICES OR THESE TERMS.
• TO THE MAXIMUM EXTENT PERMITTED BY LAW, TREEO'S TOTAL LIABILITY FOR ALL CLAIMS IN THE AGGREGATE WILL NOT EXCEED THE AMOUNTS PAID BY YOU TO TREEO FOR THE SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY OR ONE HUNDRED U.S. DOLLARS (US$100), WHICHEVER IS GREATER.
• THESE LIMITATIONS APPLY EVEN IF A REMEDY FAILS OF ITS ESSENTIAL PURPOSE.

18. Indemnification

You will defend, indemnify, and hold harmless Treeo and its affiliates, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Services or violation of these Terms, to the extent permitted by law.

19. Suspension and Termination

• You may stop using the Services at any time. You may request account closure via the account settings or support channels we provide.
• We may suspend or terminate access immediately for violations of these Terms, risk to security or operations, non-payment, or as required by law.
• Upon termination, your license ends and you must stop using the Services. Certain sections survive termination, including those about fees, IP, confidentiality, disclaimers, limitations of liability, and indemnification.

20. Governing Law and Dispute Resolution

• These Terms are governed by the laws of Dubai, United Arab Emirates, without regard to conflict of laws principles.
• Any dispute arising out of or relating to these Terms or the Services will be resolved exclusively in the courts located in Dubai, United Arab Emirates, and you consent to their jurisdiction and venue.
• If permitted by law, the parties will first attempt to resolve disputes informally by notice and a 30-day good-faith negotiation period before filing a claim.

21. Communications

You consent to receive service-related communications electronically. We may send notices by email, through the Services, or by posting on our website. Notices are deemed received when sent or posted.

22. Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, corporate reorganization, or sale of assets.

23. Entire Agreement; Order of Precedence

• These Terms, along with any order forms or policies referenced herein, constitute the entire agreement between you and Treeo regarding the Services and supersede prior or contemporaneous agreements on the subject matter.
• If there is a conflict between these Terms and an order form executed by you and Treeo, the order form will control for that conflict.

24. Severability; Waiver

• If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force and effect.
• Failure to enforce any provision will not constitute a waiver.
